The prospect of liquefied natural gas, or LNG, exports from new places all over the world is turning that logic on its head, and so the former big bosses of natural gas are looking to maintain their prominence through an OPEC-style cartel. Under pressure
At the most recent meeting of the Gas Exporting Countries Forum, Russian President Vladimir Putin urged members to defend the traditional method of pricing natural gas, through oil-indexed, long-term contracts. According to Putin, this would be done to maintain the energy security of import countries. Even if Putin's reasoning for this kind of move sounds altruistic, there is certainly a much more self-serving reason to maintain the oil-index price structure: maintaining price control.�

The Company�� working interest in the Rochelle area is 44% and it is the operator of the field, which is comprised of Blocks 15/26b, 15/26c and 15/27. Its United States activity has targeted reserve and production growth in shale gas plays, including the Louisiana Haynesville and Pennsylvania Marcellus areas.

The Company is also targeting emerging oil-prone and liquids-rich plays, including the Montana Heath oil play and its new interests in the Colorado Niobrara area. The Company operates and controls the Marcellus assets while retaining a 50% position in its remaining producing Haynesville acreage. The Company has 19 Haynesville Units which held by production with an estimated over 80 remaining gross locations to be developed, dep! ending on development well spacing. The Company has interests in approximately 88,900 net acres in the emerging Heath Shale oil play in Montana, primarily in Rosebud and Garfield Counties.

USAC installs compression equipment to move the gas from the well to its destination. Its customer base is scattered across the important natural gas-bearing shales like the Barnett and the Marcellus. At the current price, units yield 7.3 percent. Coverage for the second quarter distribution was 90 percent[1] , but the partnership expects full year DCF coverage of 110 percent.

  • [By Robert Rapier] There were a half a dozen initial public offerings (IPOs) by master limited partnerships in the first half of the year, and all but one are now in the green while one has nearly doubled in value.

    The first MLP IPO of 2013 debuted on Jan. 15. USA Compression Partners (NYSE: USAC), which I mentioned in last week’s issue, provides compression services for the oil and gas industry. Units have advanced 36 percent since the IPO, and at the current price yield 7.3 percent.

    The day after the USA Compression Partners IPO, CVR Refining (NYSE: CVRR) made its debut.  CVRR was spun off from CVR Energy (NYSE: CVI), and both companies remain majority-owned by Carl Icahn. CVR Refining’s primary assets are two refineries located in Kansas and Oklahoma with a combined processing capacity of approximately 185,000 barrels per day (bpd). These refineries are strategically located near the major Cushing, Oklahoma shipment and storage hub, with easy access to discounted feedstock from the nearby Permian basin, as well as the Bakken shale and Canadian oil sands.

    But refiners have struggled with diminished margins in 2013 because of a much lower Brent-WTI differential. After the recently concluded second quarter, CVRR declared a distribution of $1.35 per unit, bringing its per-unit distributions for the first half of the year to $2.93. At the same time, CVR Refining lowered its annual distribution target to a range of $4.10 to $4.80 per unit. This was lower than the outlook issued in March, when it foresaw annual distributions of $5.50 to $6.50. CVRR units slid on the news, and are presently trading slightly below the $25 IPO price. The lower end of the revised forecast implies distributions of $1.17 per unit in the second half of the year, for a forward annualized yield of 10 percent based on the recent $23.50 unit price.

Enbridge Energy Partners, L.P. The Company was formed by its Enbridge Energy Company, Inc. (General Partner), to own and operate the Lakehead system, which is the United States portion of a crude oil and liquid petroleum pipeline system extending from western Canada through the upper and lower Great Lakes region of the United States to eastern Canada. A subsidiary of Enbridge Inc. (Enbridge), owns the Canadian portion of the Mainline system. Liquids Segment

The Mainline system serves refining centers in the Great Lakes and Midwest regions of! the United States and the Provin ce of Ontario, Canada. Its Lakehead system spans a distance ! of approximately 1,900 miles, and consists of approximately 5,100 miles of pipe with diameters ranging from 12 inches to 48 inches, and is transporter of crude oil and liquid petroleum from Western Canada to the United States. In addition, the system has 61 pump station locations with a total of approximately 900,000 installed horsepower and 72 crude oil storage tanks with capacity of approximately 13.9 million barrels. The Mainline system operates in a segregation, or batch mode, allowing the transport in excess of 50 crude oil commodities, including light, medium and heavy crude oil, condensate and NGLs.

The Companys Mid-Continent system is located within PADD II and is consisted of its Ozark pipeline and storage terminals at Cushing and El Dorado, Kansas. Its Mid-Continent system includes over 430 miles of crude oil pipelines and 17.3 million barrels of crude oil storage capacity. Its Ozark pipeline transports crude oil from Cushing to Wood River where it delivers to ConocoPhillips Wood River refinery and interconnects with the Woodpat Pipeline and the Wood River Pipeline. The storage terminals consist of 91 individual storage tanks ranging in size from 58,000 to 575,000 barrels. Of the 17.3 million barrels of storage capacity on its Mid-Continent system, the Cushing terminal accounts for 16.1 million barrels. A portion of the storage facilities are used for operational purposes, while it contracts the remainder of the facilities with various crude oil market participants for their term storage requirements. Contract fees include fixed monthly capacity fees, as well as utilization fees, which it charges for injecting crude oil into and withdrawing crude oil from the storage facilities.

The Companys Mid-Continent system operates under month-to-month transportation arrangements and both long-term and short-term storage arrangements with its shippers. Its North Dakota system is ! a crude o! il gathering and inter state transportation system servicing the Williston basin in! North Da! kota and Montana, which includes the Bakken and Three Forks formations. The crude oil gathering pipelines of its North Dakota system collect crude oil from points near producing wells in approximately 22 oil fields in North Dakota and Montana. Its North Dakota system is made at Clearbrook to its Lakehead system and to a third-party pipeline system. As of December 31, 2011, its North Dakota system included approximately 240 miles of crude oil gathering lines connected to a transportation line, which is approximately 730 miles long, with a capacity of approximately 210,000 barrels per day. Its North Dakota system also has 21 pump stations, one delivery station and 11 storage facilities with an aggregate working storage capacity of approximately 870,000 barrels. During the year ended December 31, 2011, it added 25,000 barrels per day of capacity from Berthold, North Dakota to the international border near Lignite, North Dakota.

Natural Gas Segment

The Company owns and operates natural gas gathering, treating, processing and transportation systems, as well as trucking, rail and liquids marketing operations. It purchases and gathers natural gas from the wellhead and delivers it to plants for treating and/or processing and to intrastate or interstate pipelines for transmission to wholesale customers, such as power plants, industrial customers and local distribution companies. As of December 31, 2011, it had nine active treating plants and 25 active processing plants, including two hydrocarbon dewpoint control facilities (HCDP) plants. Its treating facilities have a combined capacity, which approximates 1,240 million cubic feet per day while the combined capacity of its processing facilities approximates 2,015 million cubic feet per day, including 350 million cubic feet per day provided by the HCDP plants.

The Companys natural gas business consists of East Texas system, A! nadarko s! ystem and North Texas system. East Texas system includes approximately 3,900 miles of nat! ural gas ! gathering and transportation pipelines, eight natural gas treating plants and five natural gas processing plants, including two HCDP plants. Anadarko system consists of approximately 2,900 miles of natural gas gathering and transportation pipelines in southwest Oklahoma and the Texas panhandle, one natural gas treating plant and 11 natural gas processing plants. North Texas system includes approximately 4,700 miles of natural gas gathering pipelines and nine natural gas processing plants located in the Fort Worth basin. Its East Texas system is located in the East Texas basin. Natural gas on its North Texas system is produced in the Barnett shale area within the Fort Worth basin conglomerate. Its Anadarko system is located within the Anadarko basin.

As of December 31, 2011, the Companys Elk City system includes one carbon dioxide treating plant and three cryogenic processing plants with a total capacity of 370 million cubic feet per day, and a NGL production capability of 20,000 barrels per day. It also includes its trucking and NGL marketing operations in its Natural Gas segment. These operations include the transportation of NGLs, crude oil and other products by truck and railcar from wellheads and treating, processing and fractionation facilities to wholesale customers, such as distributors, refiners and chemical facilities. In addition, its trucking and NGL marketing operations resells these products. Its services are provided using trucks, trailers and rail cars, pipeline capacity, fractionation agreements, product treating and handling equipment. Its trucking operations transport NGLs, condensate and crude oil from its processing facilities and from third party producers to its United States Gulf Coast customers. As of December 31, 2011, its fleet consisted of approximately 220 trucks and 375 trailers. Its trucking and NGL marketing operations are wholesale customers, such as re! fineries ! and propane distributors. Its trucki ng and NGL marketing operations also market products to whol! esale cus! tomers, such as petrochemical plants.

Marketing Segment

The Companys Marketing segment transacts with various counterparties to provide natural gas supply, transportation, balancing, storage and sales services. Its Marketing business uses third-party storage capacity to balance supply and demand factors within its portfolio. Its Marketing business pays third-party storage facilities and pipelines for the right to store gas for various periods of time. These contracts may be denoted as firm storage, interruptible storage or parking and lending services. Its Marketing business leases third-party pipeline capacity downstream from its Natural Gas assets under firm transportation contracts. NEW YORK -- Americans are turning away from live TV on the tube and tuning in to streaming services, a Nielsen report says. That's bad news for cable and satellite TV providers. Americans are increasingly watching TV shows and movies on Netflix (NFLX), Hulu, Amazon.com (AMZN) streaming and other services. CBS (CBS) and HBO (TWX) have announced standalone streaming services as well. About 45 percent of Americans stream television shows at least once a month, according to research firm eMarketer. That number is expected to increase to 53 percent or 175 million people by 2018, it says. According to the Nielsen report, which came out Wednesday, the average daily time spent watching live TV fell 12 minutes in the third quarter to four hours and 32 minutes. That means it dropped nearly 4 percent to 141 hours a month. Meanwhile, time spent watching streaming services jumped 60 percent to nearly 11 hours each month. That's still a small amount compared with live TV, but it is growing quickly. "Content is still king, but consumers are shaping their own content-discovery experience, and the evolving media landscape has not lessened consumer demand for quality, professionally produced content," Dounia Turrill, senior vice president of insights at Nielsen, said in a statement. NEW YORK (AP) ��Pizza Hut plans to start offering pizza by the slice for the first time in two test locations this week, as the chain looks to keep pace with trendy competitors offering quick, made-to-order pies.

The chain says the two locations ��one in York, Neb. and Pawtucket, R.I. ��will open on Tuesday.

A slice will cost between $2 and $3 and take three to four minutes to heat up. They'll be made with new recipes more in line with the thinner pies sold in the Northeast.

Excluding the volatile category of motor vehicles and parts, sales rose 0.7% from February, the Commerce Department said Monday.

February's retail sales were revised up to a gain of 0.7% from January, more than twice the original estimate. Sales fell in December and January.

Auto sales rose 3.1%. Sales at general merchandise stores, which includes retailers such as Wal-Mart, jumped 1.9% -- their highest single-month gain since March 2007. Nonstore retailers, which includes Internet retailers, were up 1.7%.

Gasoline stations showed a 1.3% decline due to lower gasoline prices compared with January.

    CYNK Technology (CYNK), the mysterious over-the-counter stock that at one point broke a $6 billion market cap, dropped roughly 80 percent in its first trades after a Securities and Exchange Commission halt. The SEC halted CYNK for two weeks following a massive rise in the stock's value -- it had been worth only a few cents per share in June, but it jumped above $21 on July 10. The Belize-based CYNK Technology supposedly operates a social networking site, but filings indicate it only has one employee and virtually no assets. Experts told CNBC the week of the SEC halt that they expected CYNK to fall precipitously after reopening, and its first day of trading is proving those predictions correct. When it was halted, the stock was worth just less than $14 per share, and is now below $3 a share after briefly hovering around $5 earlier Friday morning. An OTC Markets spokeswoman told Reuters that CYNK's shares were not trading on its platform, but were occurring over the phone. Earlier this week Reuters reported that OTC's CEO did not expect CYNK to trade on its platform at all after reopening, as no brokerages would file the required paperwork for the stock to trade on their exchanges. An SEC spokesman said that the organization cannot comment on the status of a company after a suspension period ends, citing an online explanation of the process. That document notes that broker-dealers may not solicit investors to trade the previously suspended OTC stock until they satisfy several regulatory requirements. The SEC warned, however, that "unsolicited" trading may occur after a reopening -- as CYNK is now seeing -- but "even though such trading is allowed, it can be very risky for investors without current and reliable information about the company."

But a new survey also shows Boeing (BA), the National Institutes of Health and Disney (DIS) at the top. The annual survey by Universum, an international consulting and brand marketing firm, asked 50,000 students for their top choices -- undergraduates in business, engineering, computer sciences, natural sciences and humanities plus those working on their master's of business administration. Google placed first in three categories and in the top six in all of them. "It is perception-based, so a lot of these companies have really strong brand recognition," said Kortney Kutsop, senior account director at Universum. "We're trying to understand what makes students tick, what they're looking for in a career." Government Agencies Do Well Students were given 230 potential employers to choose from. NASA, the Department of Energy, the CIA, the Environmental Protection Agency, the Defense Department, the FBI and the Air Force all ranked in the top 40 for engineering students. Kutsop says this is partly because of the desire among students to "give back and be part of the greater good." Oil and gas companies have also climbed in the rankings among engineering students. Exxon Mobil (XOM) came in No. 6, while Shell Oil (RDS-A), Chevron (CVX) and BP (BP) all made the top 25. "This generation is looking for employers that provide development, training and mentorship," said Kutsop. "They want to become leaders of the world." Its refineries are located in El Dorado, Kansas, (the El Dorado Refinery), Tulsa, Oklahoma (the Tulsa Refineries), which consists two production facilities, the Tulsa West and East facilities, a petroleum refinery in Artesia, New Mexico, which operates in conjunction with crude, vacuum distillation and other facilities situated 65 miles away in Lovington, New Mexico (the Navajo Refinery), Cheyenne, Wyoming (the Cheyenne Refinery) and Woods Cross, Utah (the Woods Cross Refinery). Light products are shipped by product pipelines or are made available at various points by exchanges with other parties and are made available to customers through truck loading facilities at the refinery and at terminals.

The Company�� principal customers for gasoline include other refin! ers, convenience store chains, independent marketers, and retailers. Diesel fuel is sold to other refiners, truck stop chains, wholesalers, and railroads. Jet fuel is sold for military and commercial airline use. Specialty lubricant products are sold in both commercial and specialty markets. LPG�� are sold to LPG wholesalers and LPG retailers. HollyFrontier produces and purchases asphalt products that are sold to governmental entities, paving contractors or manufacturers. Asphalt is also blended into fuel oil and is either sold locally or is shipped to the Gulf Coast. Tulsa West facility is 85,000 barrels per stream day refinery in Tulsa, Oklahoma. It owns Tulsa East facility is 75,000 barrels per stream day refinery that is also located in Tulsa, Oklahoma. In September 2011, HEP completed the Tulsa interconnecting pipeline project which facilitated a combined crude processing rate of 125,000 barrels per stream day. The El Dorado Refinery is a coking refinery.

The El Dorado Refinery is located on 1,100 acres south of El Dorado, Kansas and is a refinery. The principal process units at the El Dorado Refinery consists of crude and vacuum distillation; hydrodesulfurization of naphtha, kerosene, diesel, and gas oil streams; isomerization; catalytic reforming; aromatics recovery; catalytic cracking; alkylation; delayed coking; hydrogen production, and sulfur recovery. Supporting infrastructure includes maintenance shops, warehouses, office buildings, a laboratory, utility facilities, and a wastewater plant (Supporting Infrastructure) and logistics assets owned by HEP, which includes approximately 3.7 million barrels of tankage, a truck sales terminal, and a propane terminal. The facility processes approximately 135,000 barrels per stream day of crude oil with the capability. The Tulsa West facility is located on a 750-acre site in Tulsa, Oklahoma situated along the Arkansas River. The principal process units at the Tulsa West facility consists of crude distillation (with light ends recovery), n! aphtha hy! drodesulfurization, catalytic reforming, propane de-asphalting, lubes extraction, methyl ethyl ketone (MEK) dewaxing, delayed coker and butane splitter units.

Tulsa West facility�� Supporting Infrastructure includes approximately 3.2 million barrels of feedstock and product tankage, of which 0.4 million barrels of tankage is owned by Plains All American Pipeline, L.P. (Plains), and an additional 1.2 million barrels of tank capacity was out of service, as of December 31, 2011. The Tulsa East facility is located on a 466-acre site also in Tulsa, Oklahoma situated along the Arkansas River. The principal process units at the Tulsa East facility consists of crude distillation, naphtha hydrodesulfurization, fluid catalytic cracking (FCC), isomerization, catalytic reforming, alkylation, scanfiner, diesel hydrodesulfurization and sulfur units. The Tulsa East facility�� Supporting Infrastructure includes approximately 3.75 million barrels of tankage capacity on the refinery�� premises, of which approximately 3.4 million barrels of tankage is owned by HEP. The primary markets for the El Dorado Refinery�� refined products are Colorado and the Plains States, which include the Kansas City metropolitan area.

The gasoline, diesel and jet fuel produced by the El Dorado Refinery are primarily shipped via pipeline to terminals for distribution by truck or rail. The Company ships product via the NuStar Pipeline Operating Partnership L.P. Pipeline to the northern Plains States, via the Magellan Pipeline Company, L.P. (Magellan) mountain pipeline to Denver, Colorado, and on the Magellan mid-continent pipeline to the Plains States. The Tulsa Refineries��principal customers for conventional gasoline include Sinclair Oil Company (Sinclair), other refiners, convenience store chains, independent marketers and retailers. Sinclair and railroads are the primary diesel customers. Jet fuel is sold primarily for commercial use. The refinery�� asphalt and roofing flux products are sold via truck or! railcar ! directly from the refineries or to customers throughout the Mid-Continent region primarily to paving contractors and manufacturers of roofing products. HollyFrontier�� Tulsa West facility also produces specialty lubricant products sold in both commercial and specialty markets throughout the United States and to customers with operations in Central America and South America.

The El Dorado Refinery is located about 125 miles, and the Tulsa Refineries are located approximately 50 miles from Cushing, Oklahoma, a crude oil pipeline trading and storage hub. Both its Mid-Continent Refineries are connected via pipeline to Cushing, Oklahoma. In addition, the Company has a transportation services agreement to transport up to 38,000 barrels per calendar day of crude oil on the Spearhead Pipeline from Flanagan, Illinois to Cushing, Oklahoma, enabling it to transport Canadian crude oil to Cushing for subsequent shipment to either of the Company�� Mid-Continent Refineries or to its Navajo Refinery. The Navajo Refinery has a crude oil capacity of 100,000 barrels per stream day.The Navajo Refinery�� Artesia, New Mexico facility is located on a 561-acre site and is a refinery with crude distillation, vacuum distillation, FCC, residuum oil supercritical extraction, (ROSE) (solvent deasphalter), hydrofluoric (HF) alkylation, catalytic reforming, hydrodesulfurization, mild hydrocracking, isomerization, sulfur recovery and product blending units. Supporting Infrastructure includes approximately 2 million barrels of feedstock and product tankage, of which 0.2 million barrels of tankage are owned by HEP.

The Artesia facility is operated in conjunction with a refining facility located in Lovington, New Mexico, approximately 65 miles east of Artesia. The principal equipment at the Lovington facility consists of a crude distillation unit and associated vacuum distillation units. Supporting Infrastructure includes 1.1 million barrels of feedstock and product tankage, of which 0.2 million barrels of! tankage ! are owned by HEP. The Lovington facility processes crude oil into intermediate products that are transported to Artesia by means of three intermediate pipelines owned by HEP. The Navajo Refinery primarily serves the southwestern United States market. The Navajo Refinery primarily serves the southwestern United States market. The Company�� products are shipped through HEP�� pipelines from Artesia, New Mexico to El Paso, Texas and from El Paso to Albuquerque and to Mexico via products pipeline systems owned by Plains and from El Paso to Tucson and Phoenix via a products pipeline system owned by Kinder Morgan�� subsidiary, SFPP, L.P. (SFPP). In addition, the Navajo Refinery transports petroleum products to markets in northwest New Mexico and to Moriarty, New Mexico, near Albuquerque, via HEP�� pipelines running from Artesia to San Juan County, New Mexico.

HollyFrontier has refined product storage through its pipelines and terminals agreement with HEP at terminals in El Paso, Texas; Tucson, Arizona; and Artesia, Moriarty and Bloomfield, New Mexico. The Company uses a common carrier pipeline out of El Paso to serve the Albuquerque market. In addition, HEP leases from Mid-America Pipeline Company, L.L.C., a pipeline between White Lakes, New Mexico and the Albuquerque vicinity and Bloomfield, New Mexico. HEP owns and operates a 12-inch pipeline from the Navajo Refinery to the leased pipeline, as well as terminalling facilities in Bloomfield, New Mexico, which is located in the northwest corner of New Mexico, and in Moriarty, which is 40 miles east of Albuquerque. The Navajo Refinery is situated near the Permian Basin. The Company purchases crude oil from independent producers in southeastern New Mexico and west Texas, as well as from oil companies.

HollyFrontier also purchases volumes of isobutane, natural gasoline and other feedstocks to supply the Navajo Refinery from sources in Texas and the Mid-Continent area that are delivered to its region on a common carrier pipeline ! owned by ! Enterprise Products, L.P. The Cheyenne Refinery has a crude oil capacity of 52,000 barrels per stream day and the Woods Cross Refinery has a crude oil capacity of 31,000 barrels per stream day. The Cheyenne Refinery processes Canadian crudes, as well as local sweet crudes, such as that produced from the Bakken shale and similar resources. The Woods Cross Refinery processes regional sweet and black wax crude, as well as Canadian sour crude oils into light products. The Cheyenne Refinery facility is located on a 255- acre site and is a refinery with crude distillation, vacuum distillation, coking, FCCU, HF alkylation, catalytic reforming, hydrodesulfurization of naphtha and distillates, butane isomerization, hydrogen production, sulfur recovery and product blending units. Supporting Infrastructure includes approximately 1.6 million barrels of feedstock and product tankage, of which 1.5 million barrels of tankage are owned by HEP.

The Woods Cross Refinery facility is located on a 200-acre site and is a fully integrated refinery with crude distillation, solvent deasphalter, FCC, HF alkylation, catalytic reforming, hydrodesulfurization, isomerization, sulfur recovery and product blending units. Supporting Infrastructure includes approximately 1.5 million barrels of feedstock and product tankage, of which 0.2 million barrels of tankage are owned by HEP. The facility processes or blends an additional 2,000 barrels per stream day of natural gasoline, butane and gas oil over its 31,000 barrels per stream day capacity. The Company owns and operates four miles of hydrogen pipeline that connects the Woods Cross Refinery to a hydrogen plant located at Chevron�� Salt Lake City Refinery. The Cheyenne Refinery primarily markets its products in eastern Colorado, including metropolitan Denver, eastern Wyoming and western Nebraska. Crude oil is transported to the Cheyenne Refinery from suppliers in Canada, Nebraska, North Dakota and Montana via common carrier pipelines owned by Kinder Morgan, Plains All Am! erican Pi! peline and Suncor Energy, as well as by truck.

The Woods Cross Refinery obtains its supply of crude oil from suppliers in Canada, Wyoming, Utah and Colorado as delivered via common carrier pipelines that originate in Canada, Wyoming and Colorado. HollyFrontier manufactures and markets commodity and modified asphalt products in Arizona, New Mexico, Oklahoma, Kansas, Missouri, Texas and northern Mexico. The Company has three manufacturing facilities located in Glendale, Arizona; Albuquerque, New Mexico; and Artesia, New Mexico. The Company's Albuquerque and Artesia facilities manufacture modified hot asphalt products and commodity emulsions from base asphalt materials provided by its refineries and third-party suppliers. The Company�� Glendale facility manufactures modified hot asphalt products from base asphalt materials provided by its refineries and third-party suppliers. HollyFrontier�� products are shipped via third-party trucking companies to commercial customers that provide asphalt based materials for commercial and government projects.

The Company owns Ethanol Management Company, is 25,000 barrels per calendar day products terminal and blending facility located near Denver, Colorado. It also owns a 50% joint venture interest in Sabine Biofuels II, LLC, a 30 million gallon per year biodiesel production facility located near Port Arthur, Texas. The Company owns a 75% joint venture interest in the UNEV Pipeline, a 400 mile 12-inch refined products pipeline from Salt Lake City, Utah to Las Vegas, Nevada, together with terminal and ethanol blending facilities in the Cedar City, Utah and North Las Vegas areas and storage facilities at the Cedar City terminal with Sinclair, its joint venture partner, owning the remaining 25% interest. The pipeline has a capacity of 62,000 barrels per calendar day (based on gasoline equivalents). The pipeline was mechanically completed in November 2011.

Holly Energy Partners, L.P.

As of December 31, 2011, the Compa! ny owned ! a 42% interest in HEP, including the 2% general partner interest. HEP owns and operates logistic assets consisting of petroleum product and crude oil pipelines and terminal, tankage and loading rack facilities in the Mid-Continent, Southwest and Rocky Mountain regions of the United States. Revenues are generated by charging tariffs for transporting petroleum products and crude oil through its pipelines and by charging fees for terminalling petroleum products and other hydrocarbons, and storing and providing other services at its storage tanks and terminals. In additioin, HEP owns a 25% interest in the SLC Pipeline LLC (SLC Pipeline) that serves refineries in the Salt Lake City, Utah area. Revenues from the HEP segment are earned through transactions with unaffiliated parties for pipeline transportation, rental and terminalling operations, as well as revenues relating to pipeline transportation services provided for its refining operations. HEP has a 15-year pipelines and terminals agreement with Alon USA, Inc.
